ARTICLE I - NAME
The name of this organization shall be The Ellwood/Wampum Rod and Gun Club.
ARTICLE ll - PURPOSE
The purpose of this club shall be to protect and conserve the natural resources of America by striving to
educate future sportsmen and women so they may become caretakers of our water, air, land and wildlife.
ARTICLE III - MEMBERSHIP
A. All members shall be citizens of the United States of America.
B. Membership can be limited or rejected in case of conflict of interest.
C. New members shall attend a regular meeting and will be sponsored by a member that has been in
good standing for at least 1 year. Their application will be reviewed for approval at the next directors'
meeting. If and when accepted, they will be notified after paying all dues owed the club and after
showing proof of N.R.A. membership or joining the N.R.A. They will then receive a membership card
and be eligible for all benefits due regular members.
D. There shall be five (5) classes of memberships as follows:
1. Junior Associate: Up to eighteen (18) years of age.
2. Regular Member: Eighteen (18) years of age to sixty-four (64) years old.
3. Senior Member: Sixty-five (65) years and older.
4. Lifetime Member: Any member 18 years old or older can become a life member by paying ten times
(10X) the current annual dues . This amount is to be paid within six (6) months of notice.
5. Family Membership: Shall consist of an adult/spouse and children under age 18.
a. Dues shall be one and one-half (1 1/2) times the regular membership rate.
b. Any adult spouse may join annually for half (1/2) of the current membership fee.
E. Regular/Senior/Lifetime members are entitled to all rights and privileges of the club.
F. Junior Associates are entitled to the same rights and privileges as the Regular/Senior/Lifetime members,
except they are not entitled to vote on any issues, hold office, or be issued a range or any other keys.
G. Senior members can become life members by paying ten times (10X) the current annual dues. The
balance is to be paid within six (6) months of notice.
H. The due date for annual dues is January 1st of each year. A grace period will be extended through
March 31st without penalty.
I. All new members and lapsed memberships will be charged an initiation fee.
J. All new applicants for membership (except Junior Associate) must be a member of the National Rifle
Association (N.R.A.) or join the N.R.A. at the time of application and keep their membership current.
K. Current members who are actively serving in the military will be considered to have all privileges of
continued membership. Annual dues will be suspended.
ARTICLE IV - OFFICERS
A. The officers of this club consist of a President, Vice-President, Recording Secretary, Treasurer,
Membership Secretary, N.R.A. (National Rifle Association) Executive Officer and Range Officer.
B. Duties of the officers:
1. The duties of the President shall be to preside at all meetings of the club and Board of Directors
and shall be an ex-officio member of all standing committees. He/She shall be the Chief Executive
Officer of the club.
2. The Vice-President, in the absence of the president, shall preside at all meetings of the club and
perform all other duties normally performed by the President.
3. The Treasurer shall keep and file deposit slips showing all funds deposited to the club. He/She shall
disburse the same on order of the Board of Directors. He/She shall counter-sign all checks. His/Her
accounts shall at all times be open to inspection of the President, the Board of Directors, and any
authorized auditors. He/She shall present a financial report at every regular meeting of the Board of
Directors and prepare reports for such other times as the President of the Board of Directors may
require.
4. The Recording Secretary shall keep the minutes of the club and Board of Directors' meetings.
He/she shall also prepare and send all correspondence the President or Board of Directors deem
necessary, including website correspondence. (Read 3/31/14, 4/28/14 and passed May 12, 2014).
5. The Membership Secretary shall keep membership records of the club, receive all membership
dues/fees and distribute/collect range keys. (Read 3/31/14, 4/28/14 and passed May 12, 2014).
6. The N.R.A. (National Rifle Association) Executive Officer shall be in charge of all N.R.A. matters.
7. The Range Officer shall be responsible for ALL shooting activities and the safety thereof.
8. In the event of a vacancy occurring in any of the offices, the Board of Directors shall be empowered
to appoint to said office, a member for the unexpired term of the office.
9. All elected officers may succeed themselves in their respective offices.
10. The President, Vice President and Treasurer shall be on the bank signature card. Two (2) of the
three (3) must sign for the club for financial transactions.

ARTICLE V - BOARD OF DIRECTORS
A. The Board of Directors shall consist of a minimum of twenty-one (21) members and a maximum of thirty
(30) members, chosen as follows: Fourteen (14) members to be elected to serve as Directors. Seven (7)
to be elected each year to serve for a period of two (2) years. In addition to the elected Directors, all
elected officers shall serve as Directors during their tenure in office. All retiring officers shall automatically
become members of the Board of Directors for a period of one (1) year from the date they retire from
office. Fourteen (14) members of the Board of Directors shall constitute a quorum for the purpose of
conducting the business of the club.
B. The Board of Directors shall determine the policies of the club, establish dues and fees, approve all bills,
take counsel with committees, and have general management of the club.
C. Any officer or Director may be relieved of his/her duties as such for "just cause" by a two-thirds (2/3)
majority vote (14 members) of the Board of Directors.
ARTICLE VI - MEETINGS
A. The club shall meet once each month. The time and place is to be determined by the Board of Directors.

B. The regular club meeting in January will be the meeting at which time the elected Officers and
Directors shall take office.
ARTICLE VII - NOMINATIONS
A. A Nominating Committee consisting of five (5) members of the club shall be appointed by the President
at the regular September meeting. The duty of the Nominating Committee is to present at the
October meeting a slate of candidates for the November election. Said slate is to include seven (7)
candidates for the Board of Directors.
B. No member can be placed in nomination who has not been a member in good standing for a period
of less than one (1) year.
C. The membership will vote for the elective officers on the first (1st) ballot in the following order:
1. President
2. Vice President
3. Recording Secretary
4. Treasurer
5. Membership Secretary
6. N.R.A. (National Rifle Association) Executive Officer
7. Range Officer
D. The remaining candidates, including those defeated for the elective offices, are eligible to become a
member of the Board of Directors from which the membership will then vote for up to seven (7) on the
second (2nd) ballot.
E. The Officers and Directors shall be elected by ballot at the regular club meeting in November.
F. Any Officer/Director who misses over fifty percent (50%) of the scheduled meetings will be removed
from office at the discretion of the Board of Directors, unless absence is justified.
ARTICLE VIII - COMMITTEES
The President shall have the power to appoint all committees necessary for the execution of the club
activities and internal welfare. Each committee shall consist of at least three (3) members; provided
however, that the Board of Directors revoke the appointment of any committees which, in their judgment,
fail to properly carry out or perform the duties of their appointment.
ARTICLE IX - BEHAVIOR, CHARACTER AND POWER OF EXPULSION
The power of the President to appoint committees shall not include the power herein set forth. The
Board of Directors shall appoint a committee of five (5) members whose duty it shall be to investigate
complaints against members in moral and ethical dealings in the club. The results of such investigations
shall be reported as promptly as possible to the Board of Directors, whose decision in such matters shall
be final.
ARTICLE X - AMENDMENTS
The power to amend these by-laws shall be as follows: Any member or group of members may
suggest any by-law(s) to a committee of not less than three (3) to be appointed by the President. The
said committee shall draft the said suggestion into proper form and shall submit the proposed by-law(s)
to the Board of Directors at their next meeting. Such by-law(s) will become effective upon a two thirds (2/3)
vote of the Board of Directors present. The by-law committee will be required to interpret the powers, duties,
and the intent of the by-laws now formed.
ARTICLE XI - TERMINATION OF THE CLUB
A. The Ellwood/Wampum Rod & Gun Club shall be in full force and operation until such time as a two
thirds (2/3) vote of club members decide the club should be fully disbanded. Any assets of the club
at that time, shall be disposed of by the Board of Directors in existence at that time.
B. All land and buildings shall be donated to the PA Game Commission or other outdoor conservation
organizations that would keep the land open to public hunting and other outdoor activities.
C. All monies and other property shall be donated to outdoor sporting organizations at the discretion of
the Board of Directors.
